Terms of Service

1. Acceptance of Terms
By accessing or using Arkova ("the Service"), you agree to be bound by these Terms of Service. If you are using the Service on behalf of an organization, you represent that you are authorized to bind that organization. If you do not agree, do not use the Service.
2. Service Description
Arkova provides verification infrastructure. The Service creates a tamper-evident SHA-256 fingerprint of a document and anchors it to a permanent public network, so that anyone can later confirm the document existed, unchanged, at a specific time. The verification layer is available today; other capabilities are in early access and may change.
3. Eligibility & Accounts
You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for the accuracy of your account information, for maintaining the confidentiality of your credentials and API keys, and for all activity under your account. Organization administrators are responsible for their members' use of the Service.
4. What Arkova Does and Does Not Do
Arkova proves: that a specific document existed at a specific time and has not been altered since it was anchored.
Arkova does not: verify the truthfulness, accuracy, authorization, or legal validity of a document's contents. Anchoring a document is not legal certification, notarization, licensing, or endorsement of its contents. Verification results are provided for your independent evaluation and should not be treated as legal advice.
5. Connector Integrations
If you connect a third-party source (for example, DocuSign or Google Drive), you authorize Arkova to access the specific documents you select solely to compute and anchor their fingerprints, as described in our Privacy Policy. You represent that you have the right to access and anchor those documents, and your use of each connected service remains subject to that service's own terms.
6. Acceptable Use
- You are responsible for the documents and records you choose to anchor.
- You must not anchor fraudulent, unlawful, infringing, or harmful content, or content you do not have the right to use.
- You must not attempt to disrupt, reverse-engineer, or gain unauthorized access to the Service, or exceed applicable rate limits.
- You must not use the Service to violate the privacy or rights of others.
7. Verification API
API access is subject to the rate limits and quotas of your plan. API keys must be kept confidential and are your responsibility. Public verification by public ID requires no key. We may throttle, suspend, or revoke API access that violates these Terms, exceeds limits, or threatens the integrity of the Service. The public verification schema is versioned; we aim to make only additive, backward-compatible changes within a version.
8. Subscriptions, Fees & Payment
Paid plans are billed through our payment processor, Stripe. Fees, billing cadence, and any usage-based charges are presented at sign-up or in your account. Unless stated otherwise, subscriptions renew automatically for successive terms until cancelled, and fees are exclusive of taxes, which you are responsible for. You can cancel at any time; cancellation takes effect at the end of the current billing period, and fees already paid are non-refundable except where required by law.
9. Intellectual Property
You retain all rights to your documents and records. Arkova claims no ownership of the documents you anchor; fingerprints and associated metadata are used solely to provide the Service. Arkova and its licensors own all rights in the Service itself — the software, platform, and brand. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms.
10. Permanence of Anchored Records
Anchoring is permanent by design. A fingerprint committed to the public network cannot be deleted, recalled, or altered by Arkova or by you — that permanence is what makes the proof trustworthy. You are responsible for ensuring you have the right to anchor a document before you do so. Deleting your account does not remove a fingerprint that has already been anchored, because it lives on an independent public network outside anyone's control.
11. Third-Party Services
The Service relies on third-party providers (including hosting, payment, AI, and public-network infrastructure) described in our Privacy Policy. Your use of the Service may be affected by those providers, and their availability is outside Arkova's control.
12. Disclaimers
The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Arkova does not warrant that the Service will be uninterrupted, error-free, or that verification results will meet any specific legal or regulatory requirement.
13. Limitation of Liability
To the maximum extent permitted by law, Arkova will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss arising from your reliance on verification results for legal, regulatory, or compliance purposes. Arkova's total liability for any claim arising out of or relating to the Service will not exceed the greater of the amounts you paid to Arkova in the twelve months before the claim or one hundred U.S. dollars.
14. Indemnification
You agree to indemnify and hold harmless Arkova and its officers, employees, and agents from any claims, damages, or expenses arising out of the documents you anchor, your use of the Service, or your violation of these Terms or the rights of any third party.
15. Termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access if you materially breach these Terms or use the Service in a way that risks harm to Arkova or others. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnification, and the permanence of anchored records) will survive.
16. Governing Law & Disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. You agree that the state and federal courts located in Delaware have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you consent to that venue.
17. Changes to These Terms
We may modify these Terms. Material changes will be communicated by email or in-app notice at least 30 days before they take effect. Your continued use of the Service after changes take effect constitutes acceptance.
